Virtu Financial Considers Sale of Brokerage Unit Valued at Up to $4 Billion

Virtu Financial is reportedly in discussions to sell its brokerage division, which could fetch a price tag exceeding $3.5 billion. Some estimates suggest the valuation could approach $4 billion, marking a significant return on its earlier investment in the division.

The brokerage unit, which Virtu acquired primarily through its $1 billion purchase of Investment Technology Group (ITG) in March 2019, focuses on executing trades for institutional clients rather than trading with its own capital. This strategic move was aimed at diversifying Virtu's offerings beyond high-frequency trading.

Recent developments indicate that Virtu is keen to concentrate on its core market-making operations, which have shown strong performance. In the first quarter of 2026, the company reported a normalized adjusted EPS of $2.24, up from $1.30 in the previous year.

By divesting its brokerage unit, Virtu could redirect significant capital towards enhancing its market-making infrastructure or returning value to shareholders. The potential sale is still in the exploratory phase, with no formal process initiated and no specific buyers identified.

The brokerage division's capabilities, including agency execution and advanced analytics, could attract interest from banks, alternative trading systems, and private equity firms looking to enhance their financial services portfolios.
